THESE TERMS OF USE REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.
These terms of use are entered into by and between You and Meorigin, Inc, Delaware corporation ("Company", "we" or "us"). The following terms and conditions, any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern Your access to and use of www.meorigin.com, including any content, functionality, and services offered on or through the Company’s website (the “website”), the mobile application meOrigin® (the “Mobile Application”, and together with the website, collectively the “Services”), whether as a guest or a registered user.
By accessing or using the Services, by logging into Your account or by clicking to accept or agree to the Terms of Use when this option is made available to You, You accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at https://meorigin.com/legal/privacy, incorporated here in by reference. These Terms of Use and our Privacy Policy form a legally binding agreement between You and Company (the “Agreement”).
BY ACCESSING OR USING THE SERVICES, BY LOGGING INTO YOUR ACCOUNT OR BY CLICKING TO ACCEPT OR AGREE TO THE TERMS OF USE WHEN THIS OPTION IS MADE AVAILABLE TO YOU, YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT; (B) REPRESENT THAT YOU ARE 18 YEARS OF AGE OR OLDER; AND (C) ACCEPT THIS TERMS OF USE AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS AND BY THE PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS OF USE OR THE PRIVACY POLICY, DO NOT USE THE SERVICES.
References to “You’ or “Your” mean any person that accesses or uses the Services.
1. Changes to the Terms of Use.
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Services thereafter.
Your continued use of the Services following the posting of revised Terms of Use means that You accept and agree to the changes. You are expected to check this page from time to time so You are aware of any changes, as they are binding on You.
2. Accessing the Services and Account Security.
We reserve the right to withdraw or amend our website or the Mobile Application, and any service or material we provide on or in connection with the Services, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Services, or the entire Services, to users, including registered users.
You are responsible for both:
- (a) Making all arrangements necessary for You to have access to the Services.
- (b) Ensuring that all persons who access the Service through Your internet connection are aware of these Terms of Use and comply with them.
To access the Services or some of the resources the Company offers, You may be asked to provide certain registration details or other information. It is a condition of Your use of the Services that all the information You provide to the Company is correct, current, and complete. You agree that all information You provide to register with the Company’s website or the Mobile Application otherwise, including, but not limited to, through the use of any interactive features on the Services, is governed by our Privacy Policy, and You consent to all actions we take with respect to Your information consistent with our Privacy Policy.
If You choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, You must treat such information as confidential, and You must not disclose it to any other person or entity. You also acknowledge that Your account is personal to You and agree not to provide any other person with access to the Services or portions of it using Your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of Your user name or password or any other breach of security. You also agree to ensure that You exit from Your account at the end of each session. You should use particular caution when accessing Your account from a public or shared computer so that others are not able to view or record Tour password or other personal information.
We have the right to disable any user name, password, or other identifier, whether chosen by You or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, You have violated any provision of these Terms of Use.
3. Intellectual Property Rights.
You acknowledge and agree that the Company, its Affiliates, its licensors own the Services, including without limitation its website, Mobile Application and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) and that such Services and materials and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms of Use permit You to use the Services for Your personal, non-commercial use only. You must Not reproduce, distribute, modify, create derivative works of or improvements, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Company’s website or the Mobile Application, except as follows:
- (a) Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
- (b) You may store files that are automatically cached by Your Web browser for display enhancement purposes.
- (c) You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
- (d) You may download a single copy of our Mobile Application to Your computer or mobile device solely for Your own personal, non-commercial use. You acknowledge and agree that the Mobile Application is provided under license, and not sold, to you. You do not acquire any ownership interest in the Mobile Application under this Agreement, or any other rights thereto other than to use the Mobile Application in accordance with the license granted, and subject to all terms, conditions, and restrictions, under this Agreement. Company reserves and shall retain its entire right, title, and interest in and to the Application, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted to you in this Agreement.
You must not:
- (a) Modify copies of any material to and used through the Services;
- (b) Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Company’s website and the Mobile Application.
- (c) You must not access or use for any commercial purpose any Services or materials available through the Services.
- (d) If You print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Services in breach of the Terms of Use, Your right to use the Services will stop immediately and You must, at our option, return or destroy any copies of the materials You have made. No right, title, or interest in or to the Services or any content available or accessible through the Services is transferred to You, and all rights not expressly granted are reserved by the Company. Any use of the Services not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.
4. Trademarks.
The Company name, the term meOrigin® and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Company’s website or Mobile Application are the trademarks of their respective owners.
5. Prohibited Uses.
You may use the Services only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Services:
- (a) In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
- (b) For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
- (c) To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms of Use.
- (d) To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- (e) To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
- (f) To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm the Company or users of the Services, or expose them to liability.
Additionally, You agree not to:
- (g) Use the Services in any manner that could disable, overburden, damage, or impair the website or interfere with any other party's use of the Services.
- (h) Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material that is owned by the Company, its affiliates or licenses.
- (i) Use any manual process to monitor or copy any of the material on the website or the Mobile Application, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent.
- (j) Use any device, software, or routine that interferes with the proper working of the Company’s website or the Mobile Application.
- (k) Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- (l) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the Mobile Application, the website the server on which the website is stored, or any server, computer, or database connected to the website or the Mobile Application.
- (m) Attack the Company’s website or the Mobile Application via a denial-of-service attack or a distributed denial-of-service attack.
- (n) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Mobile Application or any part thereof;
- (o) remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the website or the Mobile Application, including any copy thereof;
- (p) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Mobile Application, or any features or functionality of the Mobile Application, to any third party for any reason, including by making the Mobile Application available on a network where it is capable of being accessed by more than one device at any time; or
- (q) Otherwise attempt to interfere with the proper working of the website or the Mobile Application.
6. Collection and Use of Your Information.
You acknowledge that when You download, install, or use the Services, Company may use automatic means (including, for example, cookies and web beacons) to collect information about Your mobile device and about Your use of the Services. You also may be required to provide certain information about yourself as a condition to downloading, installing, or using the Services or certain of its features or functionality. All information we collect through or in connection with the Services is subject to our Privacy Policy. By downloading, installing, using, accessing and providing information to or through this Services, You consent to all actions taken by us with respect to Your information in compliance with the Privacy Policy.
7. No Medical Advice.
The Company’s Services, including any health-related information, materials and resources are for information purposes only, are not intended and must not be taken as the rendering of medical, or professional health care advice or services, or the practice of medicine or professional health care in any jurisdiction. You acknowledge and agree that Company does not provide any medical opinion, medical advice, diagnosis or treatment. You should consult Your physician or other health care practitioner before starting any exercise program, especially if You or Your family have a history of high blood pressure or heart disease of if You have experienced discomfort while exercising, Never disregard professional medical advice or delay seeking it because or something You have read while accessing or using the Services. You should also check product information (including package inserts) regarding dosage, precautions, warnings, interactions, and contraindications before administering or using any herb, vitamin, or supplement.
You understand and agree that neither Company nor its Affiliates are responsible for any claim, loss, or damage directly or indirectly resulting from Your use of the Services or the information resources contained on or accessible through the Services. Company does not recommend or endorse any specific products, procedures, opinions or other information that You access or use through the Services or materials obtained from the Services. You expressly agree that You rely on any information provided by Company, its Affiliates, contributors or other users of the Services solely at Your own risk.
INFORMATION AND STATEMENTS ABOUT VITAMINS OR DIETARY SUPPLEMENTS HAVE NOT BEEN EVALUATED BY THE US FOOD AND DRUG ADMINISTRATION AND ARE NOT INTENDED TO DIAGNOSE, TREAT, CURE, MITIGATE, OR PREVENT ANY DISEASE OR HEALTH CONDITION.
8. Geographic Restrictions.
Company is based in the state of Delaware in the United States. We provide Services for access and use only by persons located in the United States. We make no claims that the Services or any of their content is accessible or appropriate outside of the United States. Access to the Services may not be legal by certain persons or in certain countries. If You access the Services from outside the United States, You do so on Your own initiative and are responsible for compliance with local laws.
9. Updates.
Company may from time to time in its sole discretion update the content on the Company’s website or develop and provide updates its Mobile Application, which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, "Updates"). Updates may also modify or delete in their entirety certain features and functionality. You agree that Company has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality.
10. User Contributions.
The Company’s Mobile Application and the website may display, contain, include or make available message boards, chat rooms, personal profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials, or provide links to third-party websites or services, including through third-party advertising (collectively, "User Contributions") on or through the Services.
All User Contributions must comply with the Content Standards set out in these Terms of Use.
Any User Contribution You post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Company’s website or the Mobile Application, You grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.
You represent and warrant that:
- You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our Affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
- All of Your User Contributions do and will comply with these Terms of Use.
- You understand and acknowledge that You are responsible for any User Contributions You submit or contribute, and You, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.
- We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by You or any other user of the Company’s website or the Company’s Mobile Applications.
- User Contributions and links thereto are provided solely as a convenience to You, and You access and use them entirely at Your own risk and subject to such third parties' terms and conditions.
11. Content Standards.
These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:
- (a) Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
- (b) Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
- (c) Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
- (d) Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.
- (e) Be likely to deceive any person.
- (f) Promote any illegal activity, or advocate, promote, or assist any unlawful act.
- (g) Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
- (h) Impersonate any person, or misrepresent Your identity or affiliation with any person or organization.
- (i) Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
- (j) Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
12. Copyright Infringement.
If You believe that any User Contributions violate Your copyright, please see our Copyright Policy for instructions on sending us a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers.
13. Monitoring and Enforcement; Termination.
We have the right to:
- (a) Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
- (b) Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for the Company.
- (c) Disclose Your identity or other information about You to any third party who claims that material posted by You violates their rights, including their intellectual property rights or their right to privacy.
- (d) Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services.
- (e) Terminate or suspend Your access to all or part of the Services for any or no reason, including without limitation, any violation of these Terms of Use.
- (f) Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Services. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPAN OR LAW ENFORCEMENT AUTHORITIES.
- (g) However, we cannot review material before it is posted on the website or the Mobile Application, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.
14. Reliance on Information Posted.
The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance You place on such information is strictly at Your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by You or any or by anyone who may be informed of any of contents of the Services.
The Services may allow You to access or use content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Company. We are not responsible, or liable to You or any third party, for the content or accuracy of any materials provided by any third parties.
15. Termination.
- (a) Company may terminate this Agreement at any time without notice. In addition, these Terms of Use will terminate immediately and automatically without any notice if You violate any of the terms and conditions of the Terms of Use.
- (b) Upon termination:
- (i) all rights granted to You under the Terms of Use will also terminate; and
- (ii) You must cease all use of the Services.
- (c) Termination will not limit any of Company's rights or remedies at law or in equity.
16. Disclaimer of Warranties.
THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY PRODUCTS, GOODS, SERVICES, THE WEBSITE, THE MOBILE APPLICATIONs, HEALTH, FITNESS, NUTRITION AND WELLNESS CONTENT AND ADVICE, OR ANY OTHER INFORMATION, ARE PROVIDED TO END USER "AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, COMPANY, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SERVICES, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE. WITHOUT LIMITATION TO THE FOREGOING, COMPANY PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE, OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS, OR BE ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF OR LIMITATIONS ON IMPLIED WARRANTIES OR THE LIMITATIONS ON THE APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.
17. Limitation of Liability.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COMPANY OR ITS AFFILIATES, OR ANY OF ITS OR THEIR RESPECTIVE LICENSORS OR SERVICE PROVIDERS, HAVE ANY LIABILITY ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE MOBILE APPLICATION, OR THE WEBSITE, OR THE SERVICES FOR:
- (a) PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, COST OF SUBSTITUTE GOODS OR SERVICES, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES.
- (b) DIRECT DAMAGES IN AMOUNTS THAT IN THE AGGREGATE EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO THE COMPANY.
THE FOREGOING LIMITATIONS WILL APPLY WHETHER SUCH DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY SO SOME OR ALL OF THE ABOVE LIMITATIONS OF LIABILITY MAY NOT APPLY TO YOU.
18. Indemnification.
You agree to indemnify, defend, and hold harmless Company and its officers, directors, employees, agents, Affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorneys' fees, arising from or relating to Your use or misuse of the Services or Your breach of this Agreement, including but not limited to the content You submit or make available through the Company’s website or the Mobile Application.
19. Online Purchases and Other Terms and Conditions.
All purchases through the website or the Mobile Application, or other transactions for the sale of goods, or information formed through the our websites or Mobile Application or resulting from visits made by You, are governed by our Terms And Conditions For The Sale Of Goods And Services, which are hereby incorporated into these Terms of Use.
20. Intellectual Property Use and Ownership. You acknowledge and agree that:
- (i) Company’s Services, its website and Mobile Applications, and their entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are solely and exclusively owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
- (ii) All uses of the terms "sell," "sale," "resell," "resale," "purchase," "price" and the like in connection with the mean the purchase or sale of a license. Each product and service marketed on the Company’s website or the Mobile Application is made available solely for license, not sale, to You and other prospective customers under the terms, conditions, and restrictions of the license agreement.
- (iii) You will comply with all terms and conditions of the specific license agreement for any product or service You obtain through the Services, including, but not limited to, all confidentiality obligations and restrictions on resale, use, reverse engineering, copying, making, modifying, improving, sublicensing and transfer of those licensed products and services.
- (iv) You will not cause, induce or permit others' noncompliance with the terms and conditions of any of these product and service license agreements.
21. Severability.
If any provision of this Agreement is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term and all other provisions of this Agreement will continue in full force and effect; provided, however, that if any fundamental term or provision of this Agreement (including without limitation Sections 11, 15, 16, 17, 18 and 19), is invalid, illegal, or unenforceable, the remainder of this Agreement shall be unenforceable.
22. Governing Law.
This Agreement is governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule.
23. Dispute Resolution, Binding Arbitration and waiver of Class Action.
(a) YOU AND COMPANY ARE AGREEING TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.
ANY CLAIM, DISPUTE OR CONTROVERSY (WHETHER IN CONTRACT, TORT OR OTHERWISE, WHETHER PRE-EXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT, INJUNCTIVE AND EQUITABLE CLAIMS) BETWEEN YOU AND US ARISING FROM OR RELATING IN ANY WAY TO COMPANY'S SERVICES, THESE TERMS OF USE, OR ANY OTHER TRANSACTION INVOLVING YOU AND COMPANY, WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION.
(b) The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Consumer Arbitration Rules and the Supplementary Rules for Multiple Case Filings (the "AAA Rules") then in effect, except as modified by this Section 23. (The AAA Rules are available at adr.org or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act will govern the interpretation and enforcement of this section.
The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability and/or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision or the Agreement is void, voidable or otherwise invalid. The arbitrator will be empowered to grant whatever relief would be available in court under law or in equity. Any award of the arbitrator will be final and binding on each of the parties and may be entered as a judgment in any court of competent jurisdiction.
(c) You agree to an arbitration on an individual basis. In any dispute, NEITHER YOU NOR COMPANY WILL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER CUSTOMERS IN COURT OR IN ARBITRATION OR OTHERWISE PARTICIPATE IN ANY CLAIM AS A CLASS REPRESENTATIVE, CLASS MEMBER OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. The arbitral tribunal may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitral tribunal has no power to consider the enforceability of this class arbitration waiver and any challenge to the class arbitration waiver may only be raised in a court of competent jurisdiction.
If any provision of this arbitration agreement is found unenforceable, the unenforceable provision will be severed and the remaining arbitration terms will be enforced.
24. Limitation of Time to File Claims.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES OTHERWISE SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
25. Entire Agreement.
Our order confirmation, these Terms of Use, Terms and Conditions For The Sale Of Goods And Services and our Privacy Policy will be deemed the final and integrated agreement between You and us.
26. Waiver.
No failure to exercise, and no delay in exercising, on the part of either party, any right or any power hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right or power hereunder preclude further exercise of that or any other right hereunder. In the event of a conflict between this Agreement and any applicable purchase or other terms, the terms of this Agreement shall govern.
